Parsons Behle & Latimer is seeking an attorney with 10+ years of corporate experience to join the Corporate Securities and Tax Department in the Salt Lake City office. Parsons is a regional law firm headquartered in Salt Lake City that has national expertise in numerous practice areas. The firm is at the forefront of the legal communities in Utah, Idaho, Montana, Nevada, Wyoming, and the Intermountain Region. The successful candidate will work on a broad variety of corporate and tax transactions.

Requirements and Qualifications:

  • 10+ years of experience with respect to M&A, venture capital and commercial finance, particularly with respect to middle-market transactions
  • Familiarity with a wide variety of transaction types (e.g., public company, private company, stock purchase, asset purchase, etc.)
  • Substantive experience with commercial and venture finance, including representation of debtors, private equity firms, investment and mezzanine funds, and commercial banks
  • Sound and practical business judgment, as well as common sense
  • Significant experience with federal and state securities compliance, including, without limitation, IPOs and the preparation of securities disclosure documents for both publicly traded and privately held companies
  • Extensive experience structuring, negotiating, and closing mergers, acquisitions, asset purchases, private equity purchases, loan transactions, joint ventures, and strategic alliances
  • Experience managing due diligence, closings, regulatory filings, and post-acquisition integration
  • Significant experience structuring and forming corporations, limited liability companies, partnerships, and other business arrangements
  • Strong communication skills and the ability to solve problems, execute and transfer knowledge, and coordinate the completion of projects by junior attorneys
  • A portable book of business is preferred along with the desire to continue the growth of their practice
  • Bankruptcy, banking, and real estate experience is a plus
  • Exceptional written and verbal communication skills
  • Good judgment and adherence to high ethical standard
  • Juris Doctor degree from an accredited law school
  • Admitted to practice in Utah or ability to be admitted by motion
